Terms of Service
These terms form an agreement between TJ Entertainment Solutions FZE ("we", "us") and the organisation that opens a Repertoire Review workspace ("you"). By creating a workspace, inviting members or uploading catalogue material you accept them.
1. The service
Repertoire Review is a hosted workspace for managing songwriter repertoire, publishing and administration rights, agreements and royalty evidence, uploaded documents, due diligence checklists and catalogue-sale transaction workspaces, including data room exports.
We may add, change or retire features. Where a change materially reduces functionality you rely on, we will give reasonable notice to the workspace administrators.
2. Accounts, workspaces and roles
- A workspace belongs to your organisation. The first administrator is responsible for who else is invited and what role each member holds.
- Roles (administrator, legal, publishing, finance, read-only and data-room) determine what a member can see and change. You are responsible for assigning them appropriately.
- You must keep credentials confidential and tell us promptly if you suspect unauthorised access.
- Accounts are for named individuals. Do not share a login between people.
3. Your data and licence to us
You retain all rights in the repertoire data, documents, statements and other material you upload ("Customer Data"). You grant us a limited licence to host, copy, process, transmit and display Customer Data solely to provide and support the service, including running the AI features described in our AI Policy.
You confirm that you have the rights or authority necessary to upload Customer Data and to share it with the people you invite or with buyers through a data room link.
4. Confidentiality
Catalogue data, deal terms and diligence responses are treated as confidential. We restrict internal access to personnel who need it to operate or support the service, and we do not disclose Customer Data to other customers or to third parties except to the infrastructure and AI processors we use to run the platform, or where required by law.
5. Data rooms and third-party access
Data room links you create grant access to whoever holds them until they expire or you revoke them. You are responsible for who receives a link and for revoking access when a process ends. We record link creation, expiry and revocation in your audit trail.
6. Fees
Where a subscription or usage fee applies, it is set out in the order or plan agreed with you. Fees are payable in advance unless agreed otherwise, are exclusive of taxes, and are non-refundable except where required by law. Non-payment may lead to suspension after notice.
7. Acceptable use
Your use must comply with our Acceptable Use policy. We may suspend access where use threatens the security, integrity or lawful operation of the platform, and will restore it once the issue is resolved.
8. AI features and no professional advice
AI-assisted classification, extraction, cross-referencing, readiness briefs and assistant responses are decision-support outputs and may be incomplete or wrong. They are not legal, accounting, valuation or tax advice. You remain responsible for verifying rights positions, splits, agreement terms and financial figures before relying on them or presenting them to a buyer.
9. Availability
We aim to keep the service available and to perform maintenance with minimal disruption, but unless a separate written service level agreement is in place the service is provided without an uptime commitment.
10. Warranties and liability
Except as expressly stated, the service is provided "as is" without implied warranties. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of business or lost transaction value, and our aggregate liability is limited to the fees paid or payable by you for the twelve months before the claim. Nothing limits liability that cannot lawfully be limited.
11. Term, suspension and deletion
- Either party may terminate for convenience at the end of the then-current billing period, or immediately for material uncured breach.
- You can export your repertoire, statements and data room manifests at any time while your workspace is active.
- On termination we delete or irreversibly anonymise Customer Data within 60 days, except where retention is legally required or the data sits inside encrypted backups which age out on their normal cycle.
12. Changes to these terms
We may update these terms. Where a change is material we will notify workspace administrators before it takes effect, and continued use after that date constitutes acceptance.
13. Governing law and contact
These terms are governed by the laws applicable to TJ Entertainment Solutions FZE in the United Arab Emirates (free zone establishment), and the parties submit to the competent courts of that jurisdiction, unless a signed order form states otherwise. Legal notices: legal@repertoirereview.app.
